Terms and Conditions – SME Help Now

These Terms and Conditions (“Terms”) apply to all services provided by SME Help Now (“we”, “us”, “our”) to any client (“you”, “your”). By engaging our services, you agree to these Terms.

1. Scope of Services

1.1 We provide business advisory, consulting, and support services to small and medium enterprises in New Zealand.
1.2 The specific services to be delivered will be outlined in an engagement letter or agreed scope document.
1.3 Any additional work outside the agreed scope will be treated as a variation and may incur additional fees.

2. Your Responsibilities

2.1 You agree to provide accurate, complete, and timely information necessary for us to deliver our services.
2.2 You are responsible for ensuring that any decisions made based on our advice are appropriate for your business.
2.3 You must notify us promptly of any changes that may affect the services we provide.

3. Our Responsibilities

3.1 We will provide our services with reasonable care, skill, and diligence, consistent with professional standards.
3.2 We do not guarantee any specific business outcomes or financial results.
3.3 Our advice is based on the information you provide; we are not responsible for errors or omissions arising from incomplete or inaccurate information.

4. Fees and Payment

4.1 Fees may be charged on a fixed‑fee, hourly, retainer, or project basis, as agreed in writing.
4.2 All fees are quoted exclusive of GST unless stated otherwise.
4.3 Invoices are payable within 14 days of the invoice date unless otherwise agreed. Some fees for specific support packages maybe paid in advance online via credit card with a monthly renewal. 
4.4 Late payments may incur:

  • Interest at 10% per month on overdue amounts

  • Suspension of services until payment is received
    4.5 You agree to pay any reasonable costs incurred in recovering overdue amounts (e.g., debt collection fees).

5. Confidentiality

5.1 We will keep your information confidential and will not disclose it except:

  • Where required by law

  • Where necessary to deliver our services (e.g., to subcontractors or advisors bound by confidentiality)

  • With your consent
    5.2 You agree to keep any confidential information we provide to you secure and not disclose it to third parties without our consent.

6. Privacy

6.1 We comply with the Privacy Act 2020.
6.2 Our Privacy Policy explains how we collect, use, store, and protect personal information.
6.3 By engaging our services, you consent to the handling of personal information in accordance with our Privacy Policy.

7. Intellectual Property

7.1 All intellectual property created by us during the engagement (including templates, tools, reports, and methodologies) remains our property unless otherwise agreed in writing.
7.2 You are granted a non‑exclusive licence to use deliverables for your internal business purposes only.
7.3 You may not reproduce, distribute, or resell our materials without our written permission.

8. Limitation of Liability

8.1 To the maximum extent permitted by New Zealand law, our liability to you for any claim arising from our services is limited to the total fees paid by you for the relevant engagement.
8.2 We are not liable for:

  • Loss of profit, revenue, or business

  • Indirect, consequential, or special loss

  • Loss arising from events beyond our reasonable control
    8.3 You agree that any claim must be made in writing within 12 months of the date the services were provided.

9. Third‑Party Services

9.1 We may recommend or refer you to third‑party providers (e.g., accountants, HR specialists, software providers).
9.2 We are not responsible for the performance, advice, or actions of any third‑party provider.
9.3 You are responsible for reviewing and accepting any third‑party terms.

10. Termination

10.1 Either party may terminate the engagement by giving 14 days’ written notice. 
10.2 We may terminate immediately if:

  • You fail to pay invoices on time

  • You breach these Terms

  • Continuing the engagement would breach legal or professional obligations
    10.3 Upon termination:

  • You must pay all outstanding fees for work completed up to the termination date

  • We will provide any deliverables or information owed to you, subject to payment of outstanding amounts

11. Force Majeure

11.1 We are not liable for delays or failure to perform our obligations due to events beyond our reasonable control, including natural disasters, pandemics, system failures, or government restrictions.

12. Amendments

12.1 We may update these Terms from time to time.
12.2 The latest version will apply to all new engagements and will be available on our website or provided upon request.

13. Governing Law

13.1 These Terms are governed by the laws of New Zealand.
13.2 Any disputes will be resolved in the New Zealand courts.
